Acceptable Use Policy – SIONIQ

Introduction and Purpose

This Acceptable Use Policy (“Policy”) sets forth the terms and conditions under which Sioniq Tech Private Limited (“Sioniq,” “Company,” “we,” “us,” or “our”) provides its services to customers, users, partners, and authorized third parties (collectively referred to as “User” or “You” or “Your”). This Policy defines acceptable and prohibited use of Sioniq's software, services, platforms, infrastructure, and related systems.

The primary objectives of this Policy are to:
  • Protect the integrity, security, and availability of Sioniq's systems and infrastructure
  • Safeguard the data and privacy of all users and customers
  • Prevent unlawful, abusive, or harmful activities
  • Ensure compliance with applicable Indian laws and, where contractually required, internationally recognized security and compliance standards.
  • Maintain a secure and trustworthy environment for all stakeholders

By accessing, installing, or using any Sioniq product, service, or platform, you acknowledge that you have read, understood, and agree to comply with this Policy. If you do not agree with these terms, it may result in permanent termination of service and restriction of access, subject to applicable contractual and legal obligations.

This Acceptable Use Policy forms part of and is subject to the Terms of Use and any executed commercial agreement between SIONIQ and the Customer. In the event of conflict, the executed commercial agreement shall prevail.

Scope and Applicability

This Policy applies to all individuals, organizations, and entities that use Sioniq's services, including but not limited to:
  • Authorized customers and enterprise subscribers
  • Individual users and system administrators
  • Employees, contractors, and consultants of customer organizations
  • Third-party vendors and technology integrators
  • Any other users who access Sioniq's platforms or applications
This Policy covers all Sioniq service offerings, including:
  • Cloud-based SaaS (Software-as-a-Service) applications and platforms
  • On-Premise deployments and installations
  • APIs, integrations, and programmatic interfaces
  • Administrative consoles, dashboards, and management interfaces
  • Related support services, documentation, and supplementary systems

Acceptable Use

Users are permitted to use Sioniq services only for lawful business purposes, in accordance with the terms of service / terms of use, and all relevant laws and regulations.

Acceptable use includes:
  • Operating business processes for jewellery manufacturing, wholesale, distribution, and retail operations
  • Managing inventory, production workflows, sales transactions, and financial accounting
  • Maintaining customer relationships and order management
  • Performing authorized administrative and operational functions
  • Conducting permitted integrations with authorized third-party systems
  • Accessing reporting, analytics, and business intelligence features
  • Conducting authorized training, testing, and system development activities
General Principles of Acceptable Use:
All usage must comply with:
  • Applicable Indian laws, including the Information Technology (IT) Act, 2000, the Digital Personal Data Protection (DPDP) Act, 2023, and industry-specific regulations
  • All terms and conditions of your service agreement with Sioniq
  • This Acceptable Use Policy and any supplementary policies referenced herein
  • Professional standards and ethical business practices
  • International data protection and privacy standards where applicable

Users acknowledge that Sioniq services are intended solely for authorized organizational purposes and should not be accessed or used for personal, unlawful, or unauthorized commercial activities.

Prohibited Activities

The following activities are strictly prohibited and may result in immediate suspension, termination, legal action, or reporting to appropriate authorities:

4.1 Illegal and Harmful Activities
Users must not use Sioniq services for:
  • Any activity that violates applicable Indian laws and regulations, and international laws where applicable
  • Impersonation, identity theft, or misrepresentation of identity or authority
  • Extortion, blackmail, or coercion
  • Facilitating or promoting illegal activities or illicit trade
  • Money laundering or financing of unlawful activities
  • Any activity that violates rights of intellectual property, publicity, or privacy
4.2 Security Violations and System Intrusion
Users must not attempt to:
  • Gain unauthorized access to Sioniq systems, servers, databases, or infrastructure
  • Bypass, circumvent, or disable security controls, authentication mechanisms, or access restrictions
  • Conduct network scanning, port scanning, or vulnerability assessments without prior written authorization
  • Deploy malware, viruses, worms, trojans, ransomware, or any malicious code
  • Interfere with or disrupt legitimate system operations or services
  • Use automated tools, bots, or scripts for unauthorized system access or exploitation
  • Perform credential harvesting, phishing, or social engineering attacks targeting Sioniq users
  • Share login credentials, access tokens, or authentication secrets with unauthorized parties
4.3 Platform Abuse and Resource Misuse
Users must not:
  • Consume excessive system resources, bandwidth, or computational capacity
  • Deliberately create system overloads or resource exhaustion attacks
  • Circumvent usage limits, rate restrictions, or fair-use policies
  • Bypass encryption, compression, or access control mechanisms
  • Reverse engineer, decompile, or attempt to derive source code from Sioniq software
  • Tamper with, modify, or alter Sioniq code, binaries, or system components
  • Create unauthorized copies, replicas, or derivative works of Sioniq applications
4.4 Communication Abuse
Users must not use Sioniq's communication tools, messaging features, or collaborative platforms for:
  • Sending spam, unsolicited commercial messages
  • Conducting phishing campaigns, credential harvesting, or social engineering attacks
  • Distributing misleading, false, or deceptive marketing messages
  • Sending abusive, threatening, or harassing messages to other users
  • Distributing content that violates intellectual property rights or confidentiality
  • Conducting unauthorized commercial solicitation

Enforcement, Remedies, and Consequences

5.1 Enforcement Actions

Sioniq does not undertake an obligation to actively monitor user activities. However, Sioniq reserves the right to investigate suspected violations where reasonably necessary to protect system integrity or comply with legal obligations.

Any data accessed or preserved during an investigation will be handled in accordance with the Privacy Policy and applicable legal requirements.

Sioniq reserves the right to take appropriate enforcement actions in response to violations of this Policy,

Including but not limited to:
  • Warnings: Initial notification of policy violation with opportunity to remedy
  • Temporary Suspension: Temporary restriction of access to services pending investigation
  • Permanent Termination: Immediate cancellation of service and deletion of associated data
  • Account Restrictions: Limiting functionality, reducing resource allocation, or implementing rate limiting
  • Data Preservation: Freezing or preserving account data for investigation or legal proceedings
  • Legal Action: Pursuing civil or criminal proceedings as permitted by law
  • Regulatory Reporting: Reporting violations to law enforcement, tax authorities, or regulatory bodies

Enforcement measures will be proportionate to the severity and impact of the violation.

5.2 Enforcement Discretion

SIONIQ will determine appropriate enforcement actions in good faith based on the severity, nature, and circumstances of the violation.

Appropriate enforcement action will be determined based on:
  • Severity and nature of the violation
  • Frequency and history of violations
  • Good faith efforts to comply with this Policy
  • Potential harm to Sioniq systems or other users
  • Applicability of legal obligations or regulatory requirements
  • Circumstances and intent of the user
5.3 Service Interruptions and Liability Limitations
Sioniq shall not be liable for:
  • Service interruptions or unavailability resulting from enforcement actions
  • Loss, corruption, or deletion of data resulting from policy violations
  • Suspension or termination of accounts due to non-compliance
  • Incidents caused by unauthorized access or security breaches resulting from user negligence
  • Third-party claims arising from user violation of this Policy or applicable laws

User Reporting and Feedback

Users are encouraged to report suspected abuse, policy violations, or security concerns to info@sioniq.com.

Reports should include:
  • Clear description of the suspected abuse or violation
  • Specific user accounts, or systems involved
  • Relevant evidence, including timestamps, screenshots, or log references
  • Contact information for follow-up inquiries
  • Preference for confidentiality of reporter's identity (if applicable)
Sioniq commits to:
  • Acknowledging receipt of reports within 48 hours
  • Conducting prompt and professional investigations
  • Maintaining confidentiality of reporters and investigation details to the extent permitted by law
  • Taking appropriate remedial action based on investigation findings
  • Providing periodic updates to reporters on investigation status

Policy Updates and Amendments

7.1 Modifications to Policy
Sioniq reserves the right to modify, supplement, or amend this Policy at any time to:
  • Comply with new or changed legal requirements
  • Address emerging security threats or abuse patterns
  • Improve service quality and user experience
  • Align with industry best practices and standards
7.2 Notification and Effective Date
  • Material changes to this Policy will be communicated to users via email or other means
  • Users will be notified of changes through the Sioniq website, platform dashboard, and direct communication
  • Continued use of Sioniq services following the notification period constitutes acceptance of updated terms
  • Users who do not accept updated terms should discontinue service within the notification period

Miscellaneous

( i ) Suspension Does Not Waive Payment Obligation

Suspension of services due to policy violations does not relieve the Customer from applicable payment obligations under the executed agreement.

( ii ) No Waiver

Failure by Sioniq to enforce any provision of this Policy shall not constitute a waiver of its rights. Standard enterprise safeguard.

( iii ) Limitation of Liability

Liability limitations applicable to this Policy are governed by the “Terms of Use” Policy.

( iv ) Data Processor Clarification

In relation to Customer data processed within the ERP platform, SIONIQ acts as a service provider and does not assume responsibility for the content, accuracy, or legality of Customer uploaded data. SIONIQ is not responsible for content uploaded, transmitted, or stored by users through the Services.

Governing Law and Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India.

All disputes arising under or related to this Policy shall be subject to the exclusive jurisdiction of the courts located in India, specifically in Hyderabad, Telangana.

Severability

If any provision of this Policy is found to be invalid, unlawful, or unenforceable by a competent court of law, such provision shall be severed, and the remaining provisions shall continue in full force and effect. Sioniq shall make reasonable efforts to replace the invalid provision with a legally valid provision that achieves similar economic and practical effect.

Entire Agreement

This Policy, constitutes the entire agreement between Sioniq and users regarding acceptable use of services. This Policy supersedes all prior policies, understandings, and agreements, whether written or oral, relating to acceptable use.

Acknowledgment

By accessing or using Sioniq services, you acknowledge that:
  • You have read and understood this entire Policy
  • You agree to comply with all terms and conditions set forth herein
  • You understand the consequences of policy violations
  • You will immediately cease any activities that violate this Policy upon notice from Sioniq
  • You have the authority to agree to these terms on behalf of your organization
  • You understand Sioniq's right to monitor, investigate, and enforce this Policy
  • You consent to the collection, processing, and use of data as described in the Privacy Policy
