Cancellation and Refund Policy – SIONIQ

This Cancellation and Refund Policy (“Policy”) governs the terms under which customers may cancel or seek refunds related to the services and products provided by Sioniq Tech Private Limited (“Sioniq” or “Company”). This policy is designed to be compliant with applicable laws and regulations while ensuring clarity and fairness for all parties involved.
Scope of the Policy
This Policy applies to the following products and services offered by Sioniq:
- Software licenses for the Sioniq ERP solution.
- Setup, implementation, and related professional services (including training, data migration, and customization).
- Add-on modules, software extensions, and upgrades.
This Policy forms part of and is subject to the “Terms of Use” policy and any executed commercial agreement. In the event of conflict, the executed commercial agreement shall prevail.
Software licenses are granted, not sold. License rights are subject to continued compliance with applicable contractual terms or “Terms of Use” policy.
Cancellation Terms
Pre-Implementation Cancellation:
Once an order is confirmed, cancellation rights are governed by this Policy and the executed commercial agreement, if any. If the Client decides to cancel the order before the implementation process begins, a cancellation fee of 10% of the total contract value may apply where cancellation occurs prior to commencement of implementation, unless otherwise agreed in writing. This fee covers the preparation costs already incurred by Sioniq.
Post-Implementation Cancellation:
After the implementation has commenced, the Client will not be eligible for a refund. Sioniq invests considerable resources into the successful setup, training, and deployment of the software. Once implementation services have commenced, fees paid for such services are generally non-refundable, except as expressly required by applicable law or contract.
Termination by Client:
After the software has been installed and is in use, the Client may terminate the agreement at any time, subject to a 30days’ notice. In such cases, no pro-rata refund will be provided, as all fees paid are considered non-refundable.
Termination by Sioniq:
Sioniq reserves the right to terminate the agreement immediately for breach of contract, including but not limited to failure by the Client to pay fees or meet their obligations under this agreement.
Refund Conditions
Refunds are only considered under specific circumstances:
- Duplicate Payments: If the Client has made a duplicate payment for any service or product, a refund will be processed for the extra payment.
- Billing Errors: If an incorrect amount is charged due to a system error, Sioniq will refund the differential amount once it is internally verified and approved by Sioniq.
Refunds will be processed through the original payment method used by the Client or available Banking channels and may be subject to transaction or processing fees.
Refunds are not provided for:
- Software License Fees: Once the software license is issued, it is non-refundable.
- Setup and Implementation Fees: These fees are non-refundable once the implementation process has commenced.
- Customization, Training, and Other Professional Services: Any fees for services such as customization, training, or data migration are non-refundable once these services have started or been partially rendered.
- Add-ons and Upgrades: Fees for additional modules or upgrades are non-refundable once activated or delivered.
No Satisfaction-Based Refunds
Sioniq does not offer satisfaction-based refunds. The ERP software is evaluated during the demonstration or trial phase, and upon conversion to a paid license, refunds are not provided based solely on subjective dissatisfaction where the Services are delivered in accordance with agreed specifications.
Cancellation Impact
Upon cancellation or termination:
- The Client’s license rights will cease as per the agreement.
- Access to services, updates, or support may be discontinued.
Upon termination, the Client may request export of available data within Thirty (30) days prior to permanent deletion, subject to technical feasibility and contractual terms.
Payment Non-Relief: Cancellation or termination does not relieve the Client from payment obligations for services already rendered or contractually committed.
Policy Modifications
Sioniq reserves the right to amend or update this Policy at any time. Any changes will be published on the Company website. Material updates to this Policy will be reflected by a revised “Last Updated” date. Continued use of the ERP software or services or website constitutes acceptance of this policy.
Limitation of Liability
Any liability arising under this Policy shall be subject to the limitations of liability set forth in the applicable “Terms of Use” policy or executed agreement.
Force Majeure
Force majeure events shall be governed by the applicable “Terms of Use” policy agreement between the parties.
Claim Limitation Period
Any claim relating to refunds must be raised within Thirty (30) days of the relevant transaction date.
No Waiver
Failure to enforce any provision of this policy shall not constitute a waiver of rights under this policy.

Governing Law
This Policy shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to this Policy shall be subject to the jurisdiction of the courts in Hyderabad, Telangana.

By accessing or using Sioniq services, you acknowledge that:
- You have the authority to agree to these terms on behalf of your organization.
- You have read and understood this entire Policy.
- You agree to comply with all terms and conditions set forth herein.
